1. Agreement to Terms

By accessing or using Scouter ("Service"), operated by 93bases, LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

2. Description of Service

Scouter is a software-as-a-service (SaaS) platform that helps agencies and brands discover content creators across YouTube, Instagram, and Twitter. The Service provides:

  • Creator discovery and search functionality
  • Unified creator profiles with cross-platform metrics
  • Creator management tools (saving, organizing, notes)
  • Data export capabilities
  • Team collaboration features

3. Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that contain false or misleading information, or that violate these Terms.

4. Subscription and Billing

The Service offers subscription plans with varying features and pricing. By subscribing to a paid plan, you agree to the following:

Payment Processing: All payments are processed securely through Stripe, our third-party payment processor. By providing payment information, you authorize us to charge your payment method for all fees incurred.

Billing Cycle: Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your plan). Your subscription will automatically renew unless cancelled before the renewal date.

Price Changes: We may change subscription prices with 30 days' notice. Price changes will take effect at the start of your next billing cycle.

Refunds: Subscription fees are generally non-refundable. However, we may provide refunds or credits at our sole discretion. If you believe you are entitled to a refund, please contact support.

Failed Payments: If a payment fails, we will attempt to charge your payment method again. After multiple failed attempts, your account may be downgraded or suspended until payment is received.

Free Trials: We may offer free trial periods. At the end of a trial, your account will automatically convert to a paid subscription unless you cancel before the trial ends.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any laws in your jurisdiction
  • Harass, abuse, or harm another person or entity
  • Impersonate any person or entity
  • Scrape, crawl, or use automated means to access the Service beyond normal API usage
  • Attempt to gain unauthorized access to any portion of the Service
  • Interfere with or disrupt the Service or servers
  • Transmit any viruses, malware, or malicious code
  • Use the Service to send spam or unsolicited communications
  • Resell or redistribute the Service without authorization
  • Use data obtained from the Service to contact creators for spam or harassment

6. Intellectual Property

The Service and its original content (excluding content provided by users or third-party data sources), features, and functionality are and will remain the exclusive property of 93bases, LLC and its licensors.

The Service is protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent.

Creator data displayed within the Service is aggregated from public sources and third-party APIs. We do not claim ownership of this creator data.

7. User Content

You may submit content to the Service, including notes, tags, and list names ("User Content"). You retain ownership of your User Content, but grant us a license to use, store, and display it as necessary to provide the Service.

You represent that you have all necessary rights to submit User Content and that it does not violate any third-party rights or these Terms.

8. Third-Party Services

The Service integrates with and displays data from third-party services, including YouTube, Instagram, and Twitter. Your use of these platforms is subject to their respective terms of service.

We are not responsible for the accuracy, availability, or reliability of third-party data. Creator metrics and information may change or become unavailable without notice.

9. Account Termination

You may cancel your subscription and close your account at any time through your account settings or by contacting support.

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including:

  • Breach of these Terms
  • Fraudulent, abusive, or illegal activity
  • Non-payment of fees
  • At our sole discretion for any reason

Upon termination, your right to use the Service will immediately cease. We may delete your account data after a reasonable period following termination.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • Results obtained from the Service will be accurate or reliable
  • The quality of the Service will meet your expectations
  • Any errors in the Service will be corrected

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL 93BASES, LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

Our total liability for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless 93bases, LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your User Content

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

15. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
